Terms of Service

These Terms of Service ("Terms") are an agreement between you and Hither Labs, LLC ("Hither Labs," "we," "us") that governs your use of our website and every product, app, browser extension, or other service we offer (together, the "Services").

The Terms have two parts. Part A applies to everything we offer. Part B adds terms for specific products. If Part A and Part B conflict for a particular product, Part B controls for that product.

By accessing or using a Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 13 years old to use our Services, and old enough to form a binding contract where you live, or have a parent or guardian agree to these Terms on your behalf. If you use a Service on behalf of a business, you confirm that you have authority to bind that business.

Where a Service requires an account, you agree to give accurate information, keep your credentials secure, and be responsible for activity under your account. Tell us promptly at info@hitherlabs.com if you believe your account has been compromised.

You agree not to use the Services to:

• Break the law or violate anyone else's rights, including privacy and intellectual property rights.
• Post or transmit content that is unlawful, harassing, hateful, threatening, sexually explicit, or that exploits or endangers children.
• Impersonate another person or misrepresent your affiliation with a person or organization.
• Send spam, scams, or misleading content, or use the Services to promote fraud.
• Interfere with, overload, or attempt to gain unauthorized access to the Services, their servers, or other users' accounts.
• Reverse engineer, scrape, or copy the Services except as the law allows or as we expressly permit.
• Circumvent usage limits, licenses, or other technical controls.

You keep ownership of the content you create or submit through the Services ("Your Content"). You grant Hither Labs a worldwide, non-exclusive, royalty-free license to host, store, display, and transmit Your Content solely as needed to operate and provide the Services, including showing it to the audience you choose.

You are responsible for Your Content and confirm you have the rights needed to submit it. We may remove content that violates these Terms or the law, but we are not obligated to monitor content.

The Services, including their software, design, text, logos, and trademarks, are owned by Hither Labs or its licensors and are protected by intellectual property laws. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services as intended. No other rights are granted, and you may not use our names or logos without our written permission.

If you send us feedback or suggestions, we may use them without obligation to you.

Our Services may rely on or interact with third-party services, websites, app stores, and payment processors. Those third parties have their own terms and privacy policies, and we are not responsible for them. Your use of a third-party service is at your own risk and subject to its terms.

Some Services or features are free and some require payment. Prices and what each purchase includes are shown at the time of purchase. Payments are handled by third-party payment processors, and you agree to their terms. Unless the law requires otherwise or a Service's terms say differently, purchases are final. If a payment is refunded or reversed, we may withdraw the access that purchase provided.

We may change prices for future purchases. Taxes may apply where required by law.

You may stop using the Services at any time. We may suspend or end your access, or remove content, if you violate these Terms, if required by law, or if continued access creates risk or harm for us or others. Where practical, we will give notice and, for account holders, a chance to export their data.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

Use your own judgment and stay aware of your surroundings. Do not rely on the Services for emergencies, safety-critical decisions, or professional advice.

To the fullest extent the law allows, Hither Labs and its owners, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim or (b) US $50.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to defend and indemnify Hither Labs against claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your violation of these Terms, or your violation of any law or third party's rights.

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-law rules. You and Hither Labs agree that any dispute will be brought in the state or federal courts located in Tulsa County, Oklahoma, and consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.

We may update these Terms from time to time. We will change the "Last Updated" date above, and for material changes we will give at least 14 days' notice, such as by email or an in-product message. Continuing to use a Service after changes take effect means you accept the updated Terms.

Nearli is our location-based social platform. These additional terms apply when you use the Nearli app, website, and related services.

Pins

• A "pin" is a marker you place at a location, with optional text and an optional image. Text is limited to 100 characters, and comments and reactions on public pins are subject to the same limit.
• Public pins are visible to other Nearli users, along with their location, until they expire. Place a public pin only where you are comfortable making that location public.
• Private pins are visible only to you and do not expire until you delete them.
• Public pins last between 5 minutes and 8 hours for individual accounts, or up to 24 hours for premium and business accounts. Expired pins are removed from the public map.
• Only one public pin may be active in a given location cell at a time. We may change how locations are divided and what limits apply as the product evolves.

Location and conduct

• Nearli asks for your device's location while the app is in use to help you place pins. Without it, you can still view public pins but may not be able to react or comment.
• You may not place pins at locations to harass, stalk, or endanger anyone, to post another person's private information, or to mislead people about where something is happening.
• You are responsible for being on, and having the right to post about, the places you pin. Do not trespass or break the law to place or view a pin.

Business & premium accounts

Venue operators and other business users must provide accurate business information and may use Nearli only for lawful promotion of their own venue or offerings. Business and premium features may be offered on a paid basis under Part A, "Fees, Payments & Refunds."

Moderation

We may remove pins, comments, or reactions, and suspend accounts, that violate these Terms. Because public pins are visible to others, you are solely responsible for what you choose to post.

On the Range is our home-scoring browser extension. These additional terms apply when you install or use it.

License

We grant you a limited, personal, non-transferable license to install and use the extension in your own browsers for your own home search. You may not resell, redistribute, or sublicense the extension, or share a license code publicly.

Free homes & paid packs

• The extension is free for a set number of scored homes. Additional homes can be unlocked through paid packs, and packs stack. The current allowance and price are shown in the extension and at checkout.
• A home counts toward your allowance once you answer a criterion or write a note on it. Clearing a home's answers or deleting it frees its place.
• After a purchase, a license code is emailed to the address you provide. Keep it safe; you can request it again by email. A code can be used in a limited number of browsers, and must be entered separately in each.
• If a purchase is refunded or reversed, we may revoke the license. Homes you have already scored always remain viewable and editable, but you may not be able to score new homes beyond the free allowance.

Your data

Your criteria, scores, and notes are stored in your own browser and are not sent to us. You are responsible for backing them up using the extension's export feature, because we cannot recover data that is stored only on your device. See our Privacy Policy for what the extension sends to our license server.

Real estate websites

On the Range works alongside real estate websites you choose to visit. It is independent of, and not affiliated with, endorsed by, or sponsored by any of them. You are responsible for following the terms of use of each website you visit. Websites change, so we cannot promise the extension will work on every page or site at all times.

Scores are your own

Scores and notes reflect only the criteria and values you enter. They are not appraisals, valuations, inspections, or financial, legal, or real estate advice. Verify important information about a property independently before making a decision.
